This is a short form, mostly pro-provider master services agreement for technical services. It provides for use of statements of work with the initial statement of work attached as exhibit A. It provides for ownership of deliverables by the customer subject to carve outs for third party materials (which are subject to their own license terms) and for provider's background materials (with background license provided to the extent incorporated into deliverables). This agreement was drafted for a technical consultant that would implement and integrate third party software solutions that involved some light coding. The main body of the agreement is just over 7 pages.
