This is an agreement by a company to provide the services of its personnel to an affiliate of the company in an effort to properly maintain the affiliates as separate entities and to help silo liability between them. The body of the agreement is 5 pages plus there is a signature page and blank Exhibit A to provide various fees. Fees are designed to be based on an "allocation percentage" of the employee's cost to the affiliate where formally employed (salary plus benefits) that is intended to reflect the percentage of the employee's total time that it provides services to the other affiliate.
