Description
An agreement for the supply of a food ingredient manufactured from unique raw materials provided by the customer. The body of the agreement is 7 pages followed by a signature page, a Schedule A for pricing and related order terms including language allowing pass through of the raw material cost, and a Schedule B providing some basic warranty and related protections to manufacturer relating to the customer-provided raw materials. Also has provisions protecting manufacturer against having to absorb obsolete raw materials. Has been drafted in favor of the manufacturer, but is reasonably balanced.
